8. Professional services engagement

Any professional services provided by Lestari Project Services Ltd will be governed by a separate written contract agreed between the parties. These website Terms and Conditions do not form part of any such contract.

Nothing on this website constitutes an offer capable of acceptance so as to form a binding contract.

9. Small commissions

For smaller or short-duration commissions: including but not limited to desktop studies, cost reviews, programme assessments, advisory notes, and similar discrete pieces of work: Lestari Project Services Ltd may agree to carry out services on the basis of an exchange of emails rather than a formal written contract. In such cases, the following terms apply:

  • Scope of services: the services to be provided and the deliverables to be produced will be as described in the relevant email correspondence between the parties. In the event of any ambiguity, the most recent written description agreed by both parties shall prevail.
  • Fees: the fee for the commission will be as agreed in the email correspondence. All fees are quoted exclusive of VAT, which will be added at the prevailing rate where applicable.
  • Payment terms: invoices are payable within 14 days of the date of invoice. Lestari Project Services Ltd reserves the right to charge interest on overdue amounts at a rate of 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
  • Intellectual property: upon receipt of full payment, the client is granted a non-exclusive licence to use the deliverables for the purposes described in the correspondence. Lestari Project Services Ltd retains all underlying intellectual property rights in its methodologies, tools, and know-how.
  • Liability: Lestari Project Services Ltd's total liability in connection with any small commission shall not exceed the total fees paid by the client for that commission. This limitation does not apply to liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
  • Governing terms: where a small commission is carried out on the basis of email correspondence, these Terms and Conditions shall apply to that engagement in their entirety, save where expressly varied by the written correspondence between the parties.

10. Governing law

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to these terms

We reserve the right to amend these Terms and Conditions at any time. The date at the top of this page indicates when they were last revised. Continued use of the website after any changes constitutes your acceptance of the revised terms.
